Bank Financing / Project Financing

Some credentials of our partners

• advising the European Investment Bank in connection with a financing amounting to EUR 150 million to be granted to Société d’Aménagement de Zénata (company in charge of the development of Zenata new city) the purpose of which is the construction of the first phase of development of Zenata new city;

• advising the Banque Centrale Populaire(second largest local bank) in connection with a refinancing in local currency of the international debt of TAQA (largest privately owned energy operator) for an amount of EUR 600 million;

• advising Marsa Maroc (a terminal operator) in connection with a financing of an amount of 770 million MAD granted by a syndicate of Moroccan banks, the purpose of which is the financing of the construction, equipment, operation and maintenance of the third terminal container of the Casablanca harbor;

• advising Proparco, a subsidiary of the French Development Agency (Agence Française de Développement, AFD), on the implementation of a second line of funding of EUR 30 million in favour of Chaabi International Banque Offshore (CIB Offshore);
• advising Société de Gestion du Port de Tanger Ville in connection with a financing of an amount of MAD 500 million granted by BMCE Bank the purpose of which is the financing of the maritime component of Tanger Ville harbour;
• advising a syndicate of Moroccan banks (having for agent Attijariwafa bank) in connection with a financing transaction of an amount of MAD 3,6 billion (approximately EUR 400 million) in favour of Tanger Med Port Authority (subsidiary of Agence Spéciale Tanger Méditerranée) which is in charge of the management and development of the Port of Tanger Med;
• advising Medi Telecom (second Moroccan telecom operator) in connection with a refinancing in local currency of an international debt of an amount of EUR 620 million;
• advising SAMIR in connection with the extension project of its oil refinery for an amount of MAD 3,5 billion (approximately EUR 318 million).

Securitisation

Some credentials of our partners

• advising Office National de l’Electricité et Eau Potable (ONEE) on its MAD 2 billion securitisation program (approximately EUR 200 million);

• advising CIH Bank on its MAD 1,2 billion accounts receivable securitisation program, equivalent to some EUR 120 million, whose aim is to diversify CIH Bank’s payment means and to improve its rates and liquidity indicators;

Bond Issuance

• advising Caisse de Dépôt et de Gestion on its MAD 1 billion joint venture project with Pierre & Vacances for the development of various leisure real estate and hotels programs in Morocco;

Bank regulatory / ISDA / Repurchase agreements

• advising major international banks in connection with various banking and financial regulatory issues relating to the conclusion of derivative/repurchase transactions, and more generally regulatory issues relating to cross-border activities involving Morocco.

advising Derichebourg Maroc for the negotiation and implementation of various waste management contracts/energy efficiency management contracts with local authorities in Marrakech, Rabat, Casablanca, Ifrane and Agadir.
